*I read the article and believe that it does a nice job of presenting the problem and the proposed solution which you have developed.  As to my &amp;quot;aha moment&amp;quot; it came at Page 8 in the discussion about the &amp;quot;walled garden&amp;quot; and the need now to re-focus on customer-directed processes.  Combined with the discussion beginning on page 22 about the stirrings of consumer discontent about the loss of control of privacy, I think the Information Valet Project makes imminent sense.&lt;br /&gt;
&lt;br /&gt;
*I also agree with you that the key to making the Information Valet process successful is the gatekeeper role played by the neutral, non-profit standard-setting organization.  The key is how to get the major players to understand how it is in their interests to establish and fund the standard setting entity.  Bluetooth did it with a gang of nine Founding Members who controlled and funded 95% of the process in exchange for getting their engineers, programmers, product people, etc. on all of the planning and development committees, while also having other categories open to the general technology community and even the public at little or no cost with varying levels of participation.  Are there 5 - 10 big players who would do the same for the information economy?&lt;br /&gt;

*The examples of the nine collaborations was helpful and provided concrete examples that showed the ITA collaboration should be possible (but remember I saw how Bluetooth worked and was already convinced long ago).&lt;br /&gt;
&lt;br /&gt;
*I am not sure that the Four Party model charts adequately explain the ITA process.  The charts are a bit difficult to understand with the multiple arrows.  It seems to me that a better way to illustrate the concept would be a picture with &amp;quot;Users&amp;quot; at the left and &amp;quot;WWW Information Providers&amp;quot; at the right and between a tall, thin oblong box labeled &amp;quot;ITA - authorization, privacy protection, financial payment and accounting services&amp;quot;.  Between Users and WWW Information Providers would be a large number of arrows, some of which went around the box, but some of which went through the box and had a different colored arrow coming out of the box, indicating that such users were preferred because they were authenticated and had financial resources to pay for content from the WWW Information Provide network.  &amp;quot;Home Base Service&amp;quot; circles to the left of the box could indicate the concept of local home bases (e.g., local newspapers) which can provide more preferred services to both the User and the WWW Information Providers.  Something like this seems to me to better illustrate the model.&lt;br /&gt;

&amp;lt;big&amp;gt;Like a circuit-riding judge, the Newshare reporter will play a role in multiple communities defined by the physical spaces they visit. They are beat reporters with a twist – a new explicit commitment to inspire learning, participation and sharing by community members. Here a scenario about their role.&amp;lt;/big&amp;gt; &lt;br /&gt;
===Q: Why Newshare spaces?===&lt;br /&gt;
Simply, to use the latest developments in infotechnology to revive public discourse at the local level by creating a network of public sites (in coffee houses, bookstores, community centers, senior centers, country stores, libraries, for instance, even in newsbars or a subway-station platform) where teams of citizen journalists assisted by professional journalists create hyperlocal newsWebpapers – can we call them Newswebers? &lt;br /&gt;
===Q: How do they work?===&lt;br /&gt;
Imagine a typical cafe on the main street of New England town, but it could just as well be in an urban neighborhood or in a retail strip on the edge of a suburban subdivision. Let’s say the coffee house is named Fuel – as in Fuel for Thought – and it’s run by a young couple who believe they will best prosper by making their coffee house a place to exchange ideas and news of the day. The Newshare reporter will help take the natural gossip and give it factual basis. &lt;br /&gt;
==What do they look like?==&lt;br /&gt;
In the storefront window of our imagined coffee house is a large – say 27” -- flat screen monitor on which is displayed  the local Newshare news site being produced within that very coffee house. People passing by stop to watch and read the latest happenings in their community. When they reach their home or office -- or come into the café with their laptop --  they can access that page – and the links to the complete reports. As well, they can add their comments and observations. &lt;br /&gt;
====Mixing the hyperlocal stream====&lt;br /&gt;
What they see is a package of headlines, photos and nutgrafs. There are three or four such packages that rotate onto that screen every 10 minutes. This storefront screen is the equivalent of the old town crier. The news of the community comes from the circuit reporter, and from Newshare members – some of whom have earned rights to contribute to the continuous Twitter-like stream. Public officials, businesses and NGOs contribute to the stream – appropriately labeled. The Newshare reporter watches the stream, commenting on its contents and advising its community contributors. &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
On this particular day, the topic of one of the news packages is a proposed charter school that challenges the practices of the public school and even threatens the public high school’s financial support from the state. It turns out that Newshare broke the story about the charter school because of its many sources within the community, who have nowhere else to turn since the regional newspaper cut back its coverage of outlying towns. &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
Supporters of the charter school want their kids to have a more intensely academic program, with a concentration of arts and environmental studies – subjects trimmed back at the public school; opponents characterize the charter school as an elite private school at public expense. There are numerous blog comments on the articles associated with this issue.&lt;br /&gt;
&lt;br /&gt;
====Curating from a corner==== &lt;br /&gt;
Inside our coffee house, the Newshare setup is in a back corner. There is a table where Newshare collaborators gather. A single professional journalist is on call this morning, on her rounds of Newshare cafes in the district. She is joined by a Newshare collaborator – a night-shift worker at a local hospital who is spending a couple of hours working on the charter-school story because his child wants to attend the new school.&amp;lt;br&amp;gt; &lt;br /&gt;
&lt;br /&gt;
Using Skype, he’s recording an audio interview with the regional school superintendent. A small camera captures the scene and audio and streams the discussion live to the the Newshare community web video channel. Later, the hospital worker will edit the audio he captured with Audacity software and wrap it into a narrative account. &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
The Newshare reporter’s role is to empower the hospital worker to turn her concerns into meaningful dialog, to elicit and convey facts – to build a bridge between advocacy and helpful debate where none exists today – to find a middle ground. &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
With our journalist is a core of citizen newshounds, adding items to the Newshare Newsweber. Nearby, people are leaning over to add their comments to the process, or simply to watch. Their remarks and observations become part of the flowing commentary. Mounted to the wall behind the Newshare desk is another newscreen. Around the news table conversations – and at times, debates – are going on.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
At the desk, the journalists are assembling queries to be posted on Newshare, and editing and posting submissions for the full Fuel site. The copy, video, photos, text have either been collected at the coffee house or sent in by Newshare correspondents. Those able to post material have earned the privilege, having been trained in the etiquette and ethics of news presentation much as citizen programmers at the local LPFM station, with whom the Newsweber site is affiliated and for whom it provides news content, are trained in broadcast protocols.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
The Newsweber is not a static information-on-a-page format. It uses a newly created social networking design called Avenue to create a community of news sharing, letting the ferment of ideas and news generate a vivid sense of engagement and participation in civic affairs that is reflected in the active, flowing current of news on the Newsweber.&lt;br /&gt;
&lt;br /&gt;
But the Fuel coffee house is not the only location within the town for a Newshare node. There is one in the high school, local library and community college branch, bookstore, an information kiosk set up at the commuter rail station, and even at a village lunch counter.&lt;br /&gt;
&lt;br /&gt;
By the way, the issue of the charter school has not yet been resolved. There is a public meeting this coming week between the school committee and the alternative school proponents. Newshare will be there – and as a result, so will the larger community. They&#039;ll be able to read about it and watch video online, at the rail station, or library, at the community center, passing by the coffee shop window, or coming into Fuel to join in further conversation. &lt;br /&gt;
&lt;br /&gt;
===What web platform does Newshare use?===&lt;br /&gt;
&lt;br /&gt;
The Newshare sites might use a new Web social networking Web design, Avenue, developed for the Donald W. Reynolds Journalism Institute at the Missouri School of Journalism specifically for news sites. &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
===Roles of the Newshare staff journalists===&lt;br /&gt;
&lt;br /&gt;
To help develop news coverage, to curate content quality, and to train citizen journalists, employs a “circuit-riding” professional journalist.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
This position requires an experienced journalist with a strong reportorial background; a passion for local news and a keen news sense; a willingness – and preferably a demonstrated ability – to work collaboratively and to train and guide fellow journalists; and familiarity with multiplatform and multisource news presentations in an online environment.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
The four principal responsibilities of the staff journalist are as follows:&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
====CONVENOR====&lt;br /&gt;
&lt;br /&gt;
The basic function of the “circuit-riding” Newshare staffer is to act as a catalyst for creating the Newshare news medium. He or she would be in residence for three hours twice a week at each Newshare site he or she was responsible for. In the case of the Berkshires, for instance, thew staffer would be responsible for four sites. During the regularly scheduled site sessions, the reporter would confer with the citizen journalists who are the core of the news gathering operation. They would discuss developing stories, address any problems, brainstorm new ideas and formats, and develop a timetable for the major elements of information to be presented on the Newsweber. Of course, these regular Newshare sessions welcome anyone who has been following the news and wants to participate.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
The staffer would also convene periodic Town Hall sessions at Newshare locations for an open discussion of local issues. These Town Meetings would be, of course, presented on the Newshare NewsWeb.&amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
====TEACHER====&lt;br /&gt;
&lt;br /&gt;
The Newshare staffer serves as a guide and mentor – as well as a recruiter -- for the corps of citizen journalists. He/she will instruct the members of Newshare in the techniques of creating news content, -- basically, how to be a reporter and verify information -- how to post it, how to abide by professional guidelines and standards, including  how to seek out and report news. In short, each Newshare site becomes a mini media classroom.   &amp;lt;br&amp;gt;&lt;br /&gt;
&lt;br /&gt;
====CURATOR====&lt;br /&gt;
&lt;br /&gt;
As the bureau chief – so to speak – for the Newshare network, the Newshare staffer is also responsible for the quality of the Newsweb content – and in that sense acts as a copy editor – and a teacher of content standards -- to make sure that posted items comply with ethical guidelines and accuracy of expression and fact. That means that Newsweb content passes through a review process – being held in a queue until approved. Once trained, the citizen journalist team can make the call. &amp;lt;br&amp;gt;&lt;br /&gt;

&lt;br /&gt;
====COLLABORATOR====&lt;br /&gt;
&lt;br /&gt;
Finally, the Newshare circuit rider is also a member of a more general communications mandate. First, the journalist is a collaborator with local bloggers,and online observers, independent radio stations, independent print publications – so that the Newshare Newsweb becomes a neural information node. We should remember that in the effort to keep the public informed competition should be kept in perspective. Every available resource has to be commandeered for a larger purpose – that of preserving an informed populace. And second, the Newshare journalist seeks out and invites input and participation from those community constituencies that may have been marginalized and have no other voice – immigrants, the poor, the elderly, for example -- and thereby gives them a chance to have their insights and concerns join the communal consciousness.&lt;/div&gt;</summary>

==A. Formation== &lt;br /&gt;
&lt;br /&gt;
This document describes the corporate form, ownership and governance and ownership of The Journalism Trust Association and its for-profit CircLabs Inc./Circulate(tm) service. &lt;br /&gt;
&lt;br /&gt;
===Mission=== &lt;br /&gt;
&lt;br /&gt;
The mission of the JTA is to sustain and advance the values and purposes of independent journalism in and for participatory democracies worldwide and to own, operate or license products and services related thereto. &lt;br /&gt;
&lt;br /&gt;
===Dissolution=== &lt;br /&gt;
&lt;br /&gt;
JTA is a non-stock association. It is owned by its membership, whose interests may not be divided or sold except pursuant to the bylaws and whose assets, upon dissolution shall be contributed to charitable or education institutions in furtherance of journalism in conformance with the laws of its state or incorporation. &lt;br /&gt;
&lt;br /&gt;
===Business Location=== &lt;br /&gt;
&lt;br /&gt;
Until at least 2020, JTA shall have as its principal place of business any location in the United States of America.  At least until then, it’s principal place of business shall be Columbia, Mo., at the Donald W. Reynolds Journalism Institute, or a U.S. location otherwise approved by the Reynolds Journalism Institute.&lt;br /&gt;
&lt;br /&gt;
==B. Membership== &lt;br /&gt;
&lt;br /&gt;
Any individual may apply to join the Journalism Trust Association upon payment of annual dues established by the Board of Directors and approval of their membership application by the Board of Directors.  Membership may be withheld by the board in its discretion for any lawful reason.  Members shall be entitled to attend and vote at any Annual or Special meeting called by the Board of Directors or by petition of at least one-third of the membership.  The names,  membership class citizenship and mailing addresses of each and all members shall be public and available to all members. The JTA shall at least annually prominently publish to the public the names of all members and their classes, along with aggregate information about the change in size and composition of each class. &lt;br /&gt;
&lt;br /&gt;
===Establishing dues===&lt;br /&gt;
&lt;br /&gt;
Until 2012, changes in dues and any changes in the privileges and benefits of membership shall be approved by  a two-thirds vote of directors then voting at a duly called meeting. &lt;br /&gt;
&lt;br /&gt;
After 2011,  changes in dues and any changes in the privileges and benefits of membership shall be approved by  a two-thirds vote of members then voting at an annual or special meeting called with at least 90 days public notice by mail or otherwise. &lt;br /&gt;
&lt;br /&gt;
===Member classes===&lt;br /&gt;
&lt;br /&gt;
No entity shall be admitted to or removed from any class of membership in the JTA other than by a two-thirds vote of Board of Directors voting at a duly called board meeting.&lt;br /&gt;
&lt;br /&gt;
There shall be the following classes of membership: &lt;br /&gt;
&lt;br /&gt;
&lt;br /&gt;
====Class A – Founding  Members====  &lt;br /&gt;

The table at right sets fourth seven classes of membership, the maximum number of board seats allocated to each, and the initial and permanent terms of each seat.  No change in classes, terms or number of seats allocated thereto shall be approved other than by a two-thirds vote of the entire membership cast by ballot or at an annual or special meeting called with at least 90 days mailed public notice. The following entities and/or individuals shall constitute the initial founding membership of the Journalism Trust Association with the standing term, and initial term of appointment to the Board of Directors for an individual nominated by the entity shown before each name: &amp;lt;ul&amp;gt;&lt;br /&gt;
 &amp;lt;BR&amp;gt;&lt;br /&gt;

&amp;lt;BR&amp;gt;&lt;br /&gt;
&amp;lt;BR&amp;gt;&amp;lt;/UL&amp;gt;&lt;br /&gt;
&lt;br /&gt;
The Founding Membership may be enlarged from time to time to time or at any time as may be elected by unanimous consent of directors of JTA voting at a duly called meeting.  However, the original seven members shall always have the right and obligation to nominate individuals to their apportioned board seat.&lt;br /&gt;
&lt;br /&gt;
====Class B – Publishing Members====&lt;br /&gt;
&lt;br /&gt;
Any non-governmental individual or entity whose interests or business consists in substantial part the creation of original works of journalism, art, literature, news, and entertainment in whatever form. &lt;br /&gt;
&lt;br /&gt;
====Class C – Contributing Member====&lt;br /&gt;
&lt;br /&gt;
Any individual or entity, including governmental, which maintains regular account relationships billed at least monthly,  all of whose customers are technically capable and permitted to participate in an Internet-based shared-user networked owned or operated by JTA for, among other purposes, management of user-centric demographics and exchange of value for information services and products. &lt;br /&gt;
&lt;br /&gt;
====Class D – Technology Members==== &lt;br /&gt;
&lt;br /&gt;
Any individual or non-governmental entity whose principal business includes the providing of technical products or services which generally support or enable public networks  and forms of participatory democracy.&lt;br /&gt;
&lt;br /&gt;
====Class E – Participating Members====&lt;br /&gt;
&lt;br /&gt;
Any government, public, charitable, trade, educational or business organization which has a substantial interest or participation in the mission and affairs of the JTA and does not qualify as a Founding, Publishing or Contributing Member. &lt;br /&gt;
&lt;br /&gt;
====Class F – Supporting Members====&lt;br /&gt;
&lt;br /&gt;
Any individual not otherwise encompassed by the previous classes who wishes to support the mission and operations of the JTA. &lt;br /&gt;
&lt;br /&gt;
====Class G – At large members====&lt;br /&gt;
&lt;br /&gt;
An individual member designated by a two-thirds vote of the Board of Directors for the purpose of qualifying the designee to hold an at-large seat on the Board of Directors.&lt;br /&gt;
&lt;br /&gt;
==C. Board of Directors==&lt;br /&gt;
&lt;br /&gt;
All the affairs of the JTA shall be governed by a Board of Directors, which shall appoint by election all officers and principal managers. The board shall have the powers customarily vested in an association board by law or precedent. &lt;br /&gt;
&lt;br /&gt;
===Officers: Election by Board===&lt;br /&gt;
&lt;br /&gt;
The Board of Directors shall initially consist of one individual designate by each of the Founding Members which together shall elect such officers as may be required by law or otherwise deemed appropriate. An officer need not be a director and all officers shall serve at the pleasure of the board.  After their initial terms, Founder Members shall have no explicit right of representation on the Board other than as elected by all Founding Members voting as a class.&lt;br /&gt;
&lt;br /&gt;
===Board expansion===&lt;br /&gt;
&lt;br /&gt;
The Board of Directors may be expanded by its initial members as its initial members deem prudent, in the classes and maximum numbers set forth in the table below. In making appointments the board shall as far as is reasonably possible seek to maintain a ratable balance of occupied seats equal to the ratios of the maximum number of seats for all classes. &lt;br /&gt;
&lt;br /&gt;
===Board nomination===&lt;br /&gt;
&lt;br /&gt;
Within each class the membership, except for Class G – At Large, members may meet from time to time or at any time and adopt rules for nominating individuals to fill seats on the Board allocated to that class after the seat has been initially filled by the board. The rules for nomination and election of classes of directors shall be approved by the full board before taking effect.  The affirmative votes of two-thirds of directors voting at a duly called meeting shall be necessary to confirm a nomination to the board.  In the event of a vacancy by resignation, death, incapacity or impeachment, the board shall immediately name a qualified replacement to serve the remaining term or until the affected membership class can meet and nominate a replacement. &lt;br /&gt;
Any board member may be impeached and ejected from his or her seat by the affirmative votes of at least 75 percent of the board, upon grounds established by the board.&lt;br /&gt;
&lt;br /&gt;
====Limitation on service====&lt;br /&gt;
&lt;br /&gt;
Any individual who has served more than one term on the Board, or more than eight years continuously, whichever is longer, shall be ineligible for further service. &lt;br /&gt;
&lt;br /&gt;
====International representation====&lt;br /&gt;
&lt;br /&gt;
After 2015, at least 25% of the then-sitting Board shall be non-U.S. citizens. After 2020, at least 45% of the then-sitting Board shall be non-U.S. citizens. Should the election by a class of membership of an otherwise-qualified representative to the board place the board outside of this mathematical requirement, the Board shall refuse to seat the representative and the membership of the class shall accept the Board’s judgment and nominate another representative.&lt;br /&gt;
&lt;br /&gt;
==D. Operations – the Information Valet L3C==&lt;br /&gt;
&lt;br /&gt;
The Journalism Trust Association shall cause to be formed, or shall acquire ownership in a limited-liability corporation known as “CircLabs Inc.” (CircLabs).   CircLabs might be a regular C-corp, or a Vermont-chartered L3C, with a mission similar to the mission of the Journalism Trust Association --  to sustain the values and purposes of journalism in and for participatory democracies worldwide.  Any goal of profit maximization shall be treated as subsidiary and subservient to this mission. The  IV shall achieve this, among other means, by facilitating through ownership, operation or licensing an Internet shared-user network for individual-centric demographic management and exchange of information value. &lt;br /&gt;
&lt;br /&gt;
===CircLabs ownership===&lt;br /&gt;
&lt;br /&gt;
CircLabs shall have two classes of stock as follows: &lt;br /&gt;
&lt;br /&gt;
====Class A – Voting====&lt;br /&gt;
&lt;br /&gt;
One-hundred percent of the Class A voting stock shall at all times be held by the Journalism Trust Association and controlled by vote of the JTA’s board of directors.  &lt;br /&gt;
&lt;br /&gt;
====Class B – Non Voting====&lt;br /&gt;
&lt;br /&gt;
Class B stock shall have at least all of the rights, privileges and obligations of the Class A stock, except that it shall have no voting rights for any purpose except dissolution or sale of substantially all assets, only if such right is required by law.&lt;br /&gt;
&lt;br /&gt;
===Class A exceeds one-third===&lt;br /&gt;
&lt;br /&gt;
The Class A voting shares authorized or issued shall at all times exceed 34% of the total shares outstanding.   The sale or dissolution of the IV, or a change in its bylaws,  shall by law, regulation or bylaw require a vote of two thirds of all shares required to be voted, or at least 100% of the Class A shares,  whichever is greater. &lt;br /&gt;
&lt;br /&gt;
===Preferential dividends===&lt;br /&gt;
&lt;br /&gt;
The Board of Directors of the CircLabs may in its discretion agree to provide preferential dividend rights to Class B shareholders, subject to approval of Class A shareholders, and likewise may provide to  bond or debtholders rights of conversion to Class B stock, so long as the total of all such rights outstanding would not cause to be exceeded, if exercised, the requirements of the paragraph above, entitlted, “Class A exceeds one third.” &lt;br /&gt;
&lt;br /&gt;
===General Powers of CircLabs===&lt;br /&gt;
&lt;br /&gt;
IV shall be organized with all of the customary powers of a U.S. domestic stock corporation.  It  will be constituted such that it can:&lt;br /&gt;
&lt;br /&gt;
*Sell Class B stock to one or more individuals or entities who have been appropriately advised of the values and purposes of the Vermont L3C form. &lt;br /&gt;
&lt;br /&gt;
*Accept loans from individuals or other entities, including foundations with specific program-related requirements for investment who have been appropriately advised of the values and purposes of the Vermont L3C form. &lt;br /&gt;
&lt;br /&gt;
Invested capital or loans will be used to fund the technical and other startup costs of the Circulate(tm) service, which service shall be owned or controlled by CircLabs, either directly or through exclusive license.&lt;/div&gt;</summary>
